These Terms & Conditions ("Terms") govern your use of BrightPal AI software ("Software") provided by BrightPal Inc ("Company", "we", "us", or "our"). By purchasing, downloading, installing, or using the Software, you ("User", "you", or "your") agree to be bound by these Terms.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on your personal devices
• Use the Software for your personal, non-commercial purposes
• Access and use the features and functionality provided by the Software

3. Payment and Pricing

The Software is available for a one-time purchase fee of $20 USD. This includes:

• Full access to all current features
• Regular updates and improvements
• No subscription fees or recurring charges

All payments are processed securely through our payment partners. Once payment is confirmed, you will receive access to download and use the Software.

4. Free Trial

We may offer a free trial period for new users. The trial period is subject to the following conditions:

• Trial access is limited to 14 days from activation
• Some features may be restricted during the trial period
• You may only use one trial per person or device
• We reserve the right to modify or discontinue trial offers at any time

5. User Responsibilities

You agree to:

• Use the Software only for lawful purposes
• Not reverse engineer, decompile, or disassemble the Software
• Not distribute, sell, or sublicense the Software to others
• Not use the Software to violate any laws or regulations
• Not interfere with or disrupt the Software's functionality
• Keep your API keys and credentials secure and confidential

The Software integrates with various AI services and APIs. You acknowledge that:

• You are responsible for obtaining and maintaining valid API keys for third-party services
• Usage of third-party AI services may be subject to their own terms and pricing
• We are not responsible for the availability, performance, or content of third-party services
• You must comply with the terms of service of any third-party AI providers you choose to use

7. Data Privacy and Security

We are committed to protecting your privacy:

• The Software can operate entirely offline with local AI models
• When using cloud-based AI services, your data is processed according to their privacy policies
• We do not collect or store your personal documents or content
• Any data transmitted to third-party AI services is done so at your discretion

The Software and all related materials are protected by intellectual property laws. You acknowledge that:

• All rights, title, and interest in the Software remain with BrightPal Inc
• You may not copy, modify, or create derivative works of the Software
• The Software may include open-source components with their own licenses

9. Disclaimers and Limitations

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of AI-generated content
• Uninterrupted or error-free operation
• Compatibility with all systems or third-party services

10. Limitation of Liability

To the maximum extent permitted by law, BrightPal Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data or content
• Loss of profits or business opportunities
• Cost of substitute goods or services
• Any damages arising from the use or inability to use the Software

Our total liability to you shall not exceed the amount you paid for the Software.

11. Updates and Modifications

We may update the Software and these Terms from time to time:

• Software updates may be provided automatically or require manual installation
• We reserve the right to modify these Terms with reasonable notice
• Continued use of the Software after changes constitutes acceptance of new Terms

We may terminate your license to use the Software if you:

• Violate these Terms
• Use the Software for illegal or unauthorized purposes
• Attempt to circumvent security measures

Upon termination, you must cease all use of the Software and delete all copies from your devices.

These Terms are governed by the laws of Japan. Any disputes arising from these Terms or your use of the Software shall be resolved in the courts of Japan.
